YOUTH IN OIL AND GAS SUMMIT 2025 – TERMS & CONDITIONS

These Terms and Conditions govern the registration, attendance, and participation at the Youth in Oil and Gas Summit 2025 (the “Summit”) organised by YIOG and its affiliates. You agree herein that by registering for the Summit and/or making payment, you accept and agree to be bound by the terms below:

1. INTRODUCTION

1.1. The Youth in Oil and Gas Summit 2025 (the “Event”) is organised and managed by Justina Erastus, with registered address at 702 Nossob Street, Meersig, (the “Seller”). 

1.2. In consideration for payment of the applicable fees as set out in the registration form or ticketing page (the “Front Sheet”), the Seller grants the registered attendee (the “Customer”) the right to attend and participate in the Event on the terms set out herein. 

1.3. The Agreement between the Customer and the Seller comprises the following: 1.3.1. These Terms and Conditions; 1.3.2. The Front Sheet or any registration documents completed by the Customer; 

1.3.3. Any click-through terms presented and accepted by the Customer during an online registration or ticketing process; 

1.3.4. Any supplemental documentation related to registration (e.g., event policies, ticket type descriptions, and pass eligibility criteria); and 1.3.5. The rules, terms, and regulations of the venue owner or operator where the Event is hosted (the “Venue”). 

1.4. Upon registering, completing payment, or attending the Event, the Customer confirms that they have read, understood, and agreed to be bound by the entire Agreement. 

2. DEFINITIONS 

2.1. For the purposes of this Agreement:

 2.1.1. “Delegate Pass” or “Delegate Pass Categories” means a ticket or digital pass entitling the holder to entry to the Event and access to the specific sessions, activities, or experiences associated with the ticket type selected during registration, including but not limited to the Continental Delegate, Patriot Delegate, Rising Star Pass, and Energy & Innovation Concert Pass, as described in Clause 

2.1.6. Each pass grants access only to the benefits expressly stated for that category and is subject to all terms and conditions set out in this Agreement. 

2.1.2. “Customer” or “Delegate” refers to both: 2.1.2.1. the individual who registers or purchases the Delegate Pass for the Event; and/or 2.1.2.2. any company, organisation, or entity on behalf of which such individual acts when purchasing or registering for Delegate Passes. 

2.1.3. References to “we,” “us,” and “our” mean the Seller; references to “you” and “your” mean the Customer. 

2.1.4. Defined terms shall bear the meaning given to them either in these Terms and Conditions, the Front Sheet, or any other official Event documentation. 

2.1.5. The singular includes the plural and vice versa, and any gender includes all other genders. 

2.1.6. Delegate Pass Categories for the Youth in Oil and Gas Summit 2025 are as follows: 

2.1.6.1. CONTINENTAL DELEGATE PASS Price: NAD 3,500 VAT inclusive. Includes: Full 2-Day Conference Access (25–26 July 2025) Admission to the Networking Cocktail Reception VIP Access to the Energy & Innovation Concert 

 2.1.6.2. PATRIOT DELEGATE PASS Price: NAD 2,500 VAT inclusive. Includes: Full 2-Day Conference Access (25–26 July 2025) Admission to the Networking Cocktail Reception VIP Access to the Energy & Innovation Concert 

2.1.6.3. RISING STAR PASS Price: NAD 1,000 VAT inclusive. Includes: Full 2-Day Conference Access (25–26 July 2025) General Access to the Energy & Innovation Concert 

Note: Reserved for youth aged 18–35. A valid student card or national ID must be presented at registration to confirm eligibility. 

2.1.6.4. ENERGY & INNOVATION CONCERT PASS Price: NAD 300 Includes: Access to the Energy & Innovation Concert on 26 July 2025 only 

3. CANCELLATIONS 

3.1. No cancellations or withdrawal requests will be accepted from 1 July 2025. 

3.2. Delegates who cancel before this date must do so in writing to registration@yiogs.com.na. 

3.3. A 20% administrative fee may apply to refunds granted before the cancellation cut-off date. 

3.4. After 01 July 2025, no refunds will be processed under any circumstances. 

4. TRANSFER OF TICKETS 

4.1. Tickets are transferable to another individual, provided that: 

4.1.1. The transfer request is submitted in writing to registration@yiogs.com.na by 01 July 2025; 

4.1.2. The request includes the original delegate’s full name and ticket type, as well as the replacement delegate’s full name, contact details, and proof of eligibility where applicable (e.g., student ID for Rising Star Pass). 

4.2. No transfers will be allowed after 01 July 2025, and no exceptions will be made. 

5. PAYMENT 

5.1. You shall make all payments in the manner, currency, and by the deadlines set out in the Front Sheet or on the official Event registration platform. Full payment is required in order to confirm your registration and secure your Delegate Pass.

5.2. All amounts payable under this Agreement must be made in full, without set-off, counterclaim, deduction, or withholding of any kind (except for any deduction or withholding of tax as required by law). All amounts stated are exclusive of any applicable sales tax, including Value-Added Tax (VAT), which, if applicable, shall be charged and payable in addition to the price. 

5.3. The purchase of a Delegate Pass entitles you solely to admission to the Event and the specific entitlements attached to the pass type as described in Clauses 2.1.6.1 , 2.1.6.2 , 2.1.6.3 and 2.1.6.4. 

5.4. All additional costs and expenses incurred in connection with your attendance at the Event including, but not limited to, travel, accommodation, meals, and insurance shall be borne exclusively by you. 

6. NON-REFUNDABLE POLICY 

6.1. All tickets are strictly non-refundable, under any circumstances, including but not limited to cancellation, non-attendance, travel disruptions, illness, or force majeure events.

6.2. No partial refunds will be made for missed sessions, concerts, or other event features. 

7. NON-ATTENDANCE 

7.1. No refunds will be granted for non-attendance, regardless of the reason, including but not limited to illness, travel restrictions, or emergencies. 

8. ALTERNATIVE ACCESS TO MATERIALS 

8.1. Registered delegates unable to attend the event may, at the discretion of the organisers, receive access to selected post-event materials such as recordings or presentations. 

8.2. The nature and scope of such access will be determined solely by the organisers and does not entitle the delegate to a refund or partial reimbursement. 

9. CHANGES TO THE EVENT 

9.1. The organisers reserve the right to: 

9.1.1. Change the event agenda, venue, speakers, timing, or format; 

9.1.2. Transition the Summit to a hybrid or fully virtual format; 

9.1.3. Alter any other aspect of the Summit without prior notice. 

9.2. These changes shall not constitute grounds for refunds, compensation, or any legal claims by delegates.

10. FORCE MAJEURE 

10.1. In the event of force majeure (including but not limited to pandemics, natural disasters, government restrictions, civil unrest, or any other situation beyond the organiser’s control), the organisers reserve the right to postpone the Summit for up to ten (10) months.

10.2. All ticket purchases will be honoured for the rescheduled event, and no refunds will be issued due to such postponement. 

11. DATA PROTECTION & PRIVACY 

11.1. Upon registering, you consent to the collection and processing of your personal information for purposes related to your attendance and participation in the Summit. 

11.2. Your personal data will not be sold or shared with third parties, except where required by law or as necessary for event operations (e.g. name badge printing, venue security). 

12. COMMUNICATIONS & MARKETING 

12.1. Upon completing your registration, you agree to receive updates, newsletters, and announcements from YIOG and the Youth in Oil and Gas Summit. 

12.2. You may unsubscribe from non-essential communications at any time via the link provided in email correspondence. 

13. MEDIA AND PHOTOGRAPHY 

13.1. The Summit will be photographed and/or recorded for marketing, promotional, and archival purposes. 

13.2. In attending the event, you grant permission for your likeness (image, voice, or video) to be captured and used by the organisers in future promotional materials, social media, and advertising. 

14. LIABILITY WAIVER

14.1. The organisers shall not be liable for: 

14.1.1. Any personal injury, illness, loss, or damage sustained by any attendee at or in connection with the event; 

14.1.2. Theft or loss of personal belongings; 

14.1.3. Any expenses incurred as a result of changes to the event (e.g. travel or accommodation costs). 

14.1.4. Delegates are advised to arrange their own travel and personal insurance. 

15. TECHNICAL LIMITATIONS 

15.1. Should you attend virtually or access Summit content online, it is your responsibility to ensure sufficient connectivity and compatible hardware/software. 

15.2. The organisers accept no responsibility for failure to access digital content due to user-side technical issues. 

16. TECHNICAL ISSUES 

16.1. If attending virtually, YIOGS will not be responsible for technical failures that arise from your end, including internet connectivity or device problems. 

16.2. No refunds will be issued due to such issues. 

17. USE OF CONTENT 

17.1. All content presented at the Summit, including but not limited to slides, videos, and speaker materials, is protected by copyright. 

17.2. Without prior written approval from YIOGS you may not: 

17.2.1. Reproduce, distribute, modify, or upload content to shared systems or public platforms; 

17.2.2. Use any content for commercial purposes; 

17.2.3. Include Summit content in websites, databases, or marketing materials; 

17.3. Infringe upon the intellectual property rights of the organisers, partners, or third parties. 

18. ACCEPTANCE OF TERMS 

18.1. Upon registering and/or completing payment, you: 

18.1.1. Acknowledge that you have read, understood, and agreed to these Terms and Conditions in their entirety; 

18.1.2. Agree to be bound by all policies and instructions communicated by the organisers before and during the event. 

19. DISCLAIMER 

19.1. Views and opinions expressed by speakers, sponsors, or attendees are their own and do not necessarily reflect those of the organisers, YiOG, or its affiliates. 

20. INTELLECTUAL PROPERTY 

20.1. You may not reproduce, distribute, modify, upload, or make commercial use of any Summit content (presentations, recordings, materials) without prior written consent from YIOGS. 

20.2. This includes uploading content to websites, internal databases, social media, or sharing with third parties. 

21. COMPLIANCE 

21.1. You agree to comply with all applicable laws, statutes, regulations, and codes of practice, including but not limited to those relating to anti-bribery, anti-corruption, anti-tax evasion, and modern slavery (collectively, the “Relevant Requirements”). 

21.2. You confirm that you are aware of and will adhere to such Relevant Requirements, as well as any related policies or guidelines that we may provide to you from time to time in connection with the Event.

 21.3. Each party warrants that it has not and will not, whether directly or indirectly, make, offer, promise, authorise, solicit or accept any payment, gift, inducement, or other advantage to or from any person, including any government official, that may constitute a facilitation payment or breach any Relevant Requirement. 

21.4. You undertake to promptly notify us in writing upon becoming aware of any actual or suspected breach of this Clause 

21. 21.5. A breach of this Clause 21 by you shall entitle us, in our sole discretion and without prejudice to any other rights or remedies, to immediately terminate this Agreement without liability. 

22. SECURITY INSPECTIONS 

22.1. For the safety and security of all attendees, you acknowledge and agree that both the Event organisers and/or the Venue management reserve the right to conduct security screenings, searches, and inspections of persons, bags, or other items at any time before or during the Event. 

22.2. You further acknowledge that entry to the Venue is conditional upon compliance with all security protocols, notices, and instructions issued by the Event organisers or Venue personnel. 

22.3. Failure to comply with such protocols, or refusal to submit to a security search, shall entitle the organisers or Venue personnel to deny you entry or require your immediate removal from the Venue, without any entitlement to a refund or compensation. 22.4. Any items deemed by the organisers or the Venue to be dangerous, prohibited, or otherwise unsuitable may be confiscated or refused entry at their sole discretion. 

23. GENERAL 

23.1. This Agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations, and understandings, whether written or oral, relating to its subject matter. 

23.2. If you are entering into this Agreement on behalf of another individual or entity, you confirm and warrant that: 

23.2.1. you have informed such individual or entity of the terms of this Agreement; and 

23.2.2. you have the requisite authority to bind such individual or entity to the terms herein. 

23.2.3. Nothing in this Agreement shall be construed as creating a partnership, joint venture, fiduciary relationship, or agency relationship between the parties. Neither party shall have the authority to act or to incur obligations on behalf of the other. 

23.3. No failure or delay by either party to exercise any right or remedy provided under this Agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. 

23.4. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

 23.5. No variation or amendment to this Agreement shall be effective unless it is in writing, expressly references this Agreement, and is signed by an authorised representative of each party. 

23.6. We may assign or transfer our rights and obligations under this Agreement to another entity. You may not assign, transfer, subcontract or otherwise deal with any of your rights or obligations under this Agreement without our prior written consent. 

23.7. Each clause of this Agreement operates separately. If any provision or part-provision is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. 

23.8. If such modification is not possible, the relevant provision shall be deemed deleted. Any such modification or deletion shall not affect the validity and enforceability of the remaining provisions. 

23.9. All notices or communications under this Agreement shall be in writing and may be sent via email, postal service, or electronic messaging platforms used in connection with the Event. 

23.10. Communications shall be deemed effective upon receipt by the intended recipient at the contact details provided during registration.

 23.11. If you have any questions, concerns, or complaints in relation to the Event or this Agreement, please contact us in the first instance by using the details provided at registration. 

23.12. You agree to provide a full and detailed description of the issue. We will use reasonable efforts to respond to your query or complaint within thirty (30) business days. 

23.13. This Agreement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it, its subject matter, or formation, shall be governed by and construed in accordance with the laws of the Republic of Namibia. 

23.14. The parties irrevocably submit to the non-exclusive jurisdiction of the High Court of Namibia – Windhoek Main Division for the resolution of any disputes or claims arising under or in connection with this Agreement.
